Subscription, Billing, Cancellation, and Refund Policy

This Policy explains how FocalShift plans, renewals, usage credits, payments, cancellation, and refunds operate.

1Plans and pricing

Available plans, included features, limits, billing intervals, and current prices are shown at checkout or on the applicable order. Promotional or legacy pricing may have separate conditions. Unless stated otherwise, prices are in U.S. dollars and exclude applicable taxes.

Currency. Membership plans and credit top-ups are priced and charged in United States dollars (USD), and are billed monthly in advance unless a different billing interval is shown before you confirm. The amount and the currency are shown at checkout before you confirm, and again on your receipt. If your card is issued in another currency, your card issuer or bank may apply its own conversion or cross-border fee; FocalShift does not set that fee and does not receive it.

How a plan is bought. FocalShift Inc. is the seller and merchant of record for membership plans and credit purchases. You must be signed in to a FocalShift account with a verified email address before a plan can be purchased, so that what you pay for can be delivered to an account we can identify; a plan you already hold cannot be purchased a second time. A valid promotional code may be applied during checkout where one is offered.

2When your plan starts

Access is digital and immediate. When a payment succeeds, your Mission Control workspace is upgraded to the plan you bought within a few seconds, and the features of that plan are available at once. There is nothing to ship, there is no delivery address, and there is no delivery window. Credits bought as a top-up are added to your balance immediately and are usable the moment they appear. Invoices and receipts are issued electronically to the email address on your account.

Because the service is supplied immediately, a paid plan and a credit purchase are governed by the cancellation, refund, and withdrawal sections of this Policy rather than by any shipping, delivery, or returns process. FocalShift does not sell physical goods; where a member seller ships a physical item, that sale is the member’s, and returns and delivery for it are governed by the seller’s own disclosed policy and the Network Commerce and Marketplace Terms.

3Recurring subscriptions

A paid subscription renews automatically for the same billing interval until canceled. Before purchase, we disclose the amount, billing frequency, trial or promotional period, renewal terms, and cancellation method. By subscribing, you authorize recurring charges to the payment method on file.

4Trials and promotions

If a trial converts to a paid plan, the conversion date and price are disclosed when you enroll. Cancel before the stated conversion deadline to avoid the first paid charge. Eligibility for trials and promotions may be limited and may not be combined.

Beta program. While FocalShift is in beta, an approved beta member receives every feature of the Agency plan at no charge for six months from the date of approval. No payment method is collected for the beta grant, and nothing is charged when it ends. We send a notice to the email address on the account thirty days before the six months end. On the end date the account lapses to the Free plan: nothing is deleted, and a paid plan can be chosen at any time, before or after that date.

5Usage credits and add-ons

Some AI, media, infrastructure, or other metered features use credits or separately priced capacity. Credits are limited service-use entitlements. They have no cash value, are not redeemable for money, and may expire as stated at purchase, in the applicable plan, or in the FocalShift Credits and Shift Transfers Terms. Credits may be transferred between members only through the Shift transfer feature inside the Services and subject to those Credits Terms; they may not be sold or transferred outside the Services. Usage already consumed is not reversible, and a credit purchase is not refundable once credits are delivered except where law requires or we expressly state otherwise.

6Payment and failed charges

You must maintain a valid payment method and accurate billing information. We may retry failed charges, request an updated method, restrict paid features, or suspend the account after reasonable notice. You remain responsible for amounts incurred before suspension or cancellation.

7Cancellation

You may cancel through the account billing controls or another cancellation method we provide. Cancellation stops future renewal charges and ordinarily takes effect at the end of the current paid period. You retain paid access through that date unless the account is terminated for cause or you request immediate closure.

8Refunds

Except where a refund is required by law or expressly promised at checkout, fees are nonrefundable once a billing period begins. If FocalShift makes a material billing error, duplicates a charge, or cannot provide a paid core service for an extended period, contact us promptly so we can investigate and provide an appropriate correction, credit, or refund.

9Plan changes

Upgrades may take effect immediately with a prorated charge or credit as shown before confirmation. Downgrades generally take effect at the next renewal and may reduce features, storage, seats, or limits. You are responsible for exporting or adjusting data before a downgrade if the new plan cannot support current usage.

10Taxes and invoices

We may calculate and collect transaction taxes based on billing information and legal requirements. Customers claiming exemption must provide valid documentation. Invoices and receipts are available through the account or payment channel provided.

11Chargebacks and disputes

Contact us before initiating a chargeback so we can investigate. Fraudulent or abusive chargebacks may result in account restriction. Nothing in this Policy limits nonwaivable rights under applicable consumer law.

13Automatic renewal and how to stop it

Before you complete a purchase of a recurring plan we present, in a clear and conspicuous form and next to the point of consent, the fact that the plan renews automatically, the renewal amount or how it is calculated, the billing interval, the date of the first charge, the length of any trial or introductory period and the price after it ends, and how to cancel. Your affirmative act of completing checkout is your consent to automatic renewal, and we retain a record of that consent — the plan, price, interval, date, and confirmation — and send an order acknowledgment to the email address on the account.

You may cancel at any time from the billing controls in your account, in the same place and by comparable effort to the way you subscribed, without contacting support, without a retention call, and without a cancellation fee. Where we offer an alternative before you confirm, you can decline it and complete cancellation in the same flow. Cancellation stops future renewal charges and ordinarily takes effect at the end of the current paid period; your plan continues until that period ends and then does not renew.

Where required by law, and as a matter of practice for annual and longer terms, we send an advance reminder before a renewal charge that states the renewal date, the amount, and how to cancel. If we change the price, the billing interval, or a material term of a renewing plan, we notify you before the change takes effect and give you a reasonable opportunity to cancel before it applies. If a required disclosure, consent, or reminder was not properly given, contact us and we will make it right, including by refunding the affected charge where law requires.

14Consumer withdrawal rights in the EU, the UK, and similar jurisdictions

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction granting an equivalent right, you may withdraw from a distance contract for a paid plan within fourteen days of concluding it, without giving a reason. To withdraw, send an unambiguous statement to legal@focalshift.ai or through our contact channels identifying your account and the purchase; a model withdrawal form is available on request. We will refund payments received within fourteen days of receiving your withdrawal, using the payment method you used.

Digital content and services begin immediately on purchase because that is how the Services work. By completing checkout you expressly request that performance begin during the withdrawal period and acknowledge that you lose the right of withdrawal once the service has been fully performed, and that for a partly performed service we may deduct an amount proportionate to what was supplied before you withdrew. For digital content supplied on a non-tangible medium and for credits delivered immediately, the right of withdrawal is lost once supply has begun with your express prior consent and acknowledgment. Nothing here limits your statutory rights concerning a service that is not as described, is faulty, or does not conform to the contract.

15Purchases between members

This Policy governs what you buy from FocalShift. It does not govern what you buy from, or sell to, another member. Refunds, cancellations, delivery disputes, and chargebacks for member offers are governed by the seller’s disclosed policy and the Network Commerce and Marketplace Terms; tips are governed by the tips-and-gratuities provisions of the Marketplace Terms; paid-task engagements are governed by the paid-task provisions of the Marketplace Terms; and credit transfers between members are governed by the Credits and Shift Transfers Terms.

Raise a member-transaction issue with the other member first, then use the dispute path in the applicable document. FocalShift may, at its discretion, facilitate a resolution, reverse a transfer, or hold or offset funds under those documents, but unless FocalShift is identified as the seller or merchant of record on the transaction record, FocalShift is not the counterparty to the sale and does not guarantee performance, delivery, or refund.

16Wallet ledger and balances

Wallet displays may distinguish pending, available, withdrawn, reserved, fee, commission, refund, and adjustment entries. A displayed balance is an accounting record, not a bank account, deposit, cash equivalent, or stored-value product. Credits are service-use units and are not withdrawable or transferable unless a specific written offer states otherwise.

17Payout eligibility and timing

Payouts may require identity, business, tax, bank, sanctions, and risk verification. Timing depends on settlement, eligibility, minimum thresholds, transaction status, our payment processor Stripe, and applicable holds. Payouts are not guaranteed on a particular day, and no interest accrues on pending, held, or reserved amounts.

18Holds, reserves, offsets, and negative balances

We or Stripe may delay, reserve, offset, reverse, or withhold amounts reasonably related to refunds, disputes, chargebacks, suspected fraud, non-delivery, legal process, policy violations, sanctions, tax withholding, or elevated transaction risk. You remain responsible for negative balances, chargebacks, refunds, fees, penalties attributable to your transactions, and other amounts owed after cancellation or account closure.

19Payments, processing, and card security

Who processes your payment. Payment processing on FocalShift is provided by Stripe, Inc. (“Stripe”). When you pay for a plan, buy credits, tip a member, or pay for a task, your card details are entered into Stripe’s own hosted checkout and go directly to Stripe. FocalShift does not see, handle, or store your full card number, your card security code, or your bank-account number.

How your payment information is kept safe. Every FocalShift page is served over HTTPS with HTTP Strict Transport Security, so the connection between your browser and FocalShift is encrypted. Card data is handled by Stripe, a PCI-DSS Level 1 certified service provider, and is not processed by or stored on FocalShift systems. We accept the card networks Stripe supports for our account, including Visa, Mastercard, American Express, and Discover.

Where your money goes. A membership plan or a credit top-up is a purchase from FocalShift Inc., which is the merchant of record for it. A purchase from another member is that member’s sale; see “Purchases between members” above and the Network Commerce and Marketplace Terms.

20Payouts, connected accounts, and the Stripe Connected Account Agreement

If you are paid through FocalShift — as a seller, a creator, a paid-task doer, or an affiliate — payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Services Agreement”). By accepting the FocalShift Terms of Service, and by enabling payouts on your account, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time.

Before a payout account is opened for you, FocalShift asks you to confirm this agreement in Mission Control, presents these links at that moment, and records your confirmation. You do not receive payouts through FocalShift until you have given it.

As a condition of FocalShift enabling payment processing services through Stripe, you agree to provide FocalShift accurate and complete information about you and your business, and you authorize FocalShift to share that information, and transaction information related to your use of the payment processing services provided by Stripe, with Stripe.

Stripe’s privacy practices. Stripe processes personal information about you in connection with your connected account. Stripe’s handling of that information is described in the Stripe Privacy Policy.

Acquiring banks. Card transactions on FocalShift are processed through Stripe and the acquiring banks Stripe uses for your country. Stripe identifies those banks and their contact information; if you receive payouts through FocalShift and need them, write to legal@focalshift.ai and we will provide them, and they are also available from Stripe.

FocalShift is not a bank. A wallet balance shown in your account is an accounting record, not a deposit, a bank account, or a stored-value product, and it earns no interest. Payout timing, verification, holds, reserves, and negative balances are governed by the sections above.

21Marketplace and seller transactions

Transaction records and checkout disclosures identify the merchant of record for each transaction. Unless FocalShift is expressly identified as the seller or merchant of record, the member seller is responsible for the offer, fulfillment, seller refund terms, taxes, and legally required remedies. Marketplace-specific terms appear in the Network Commerce and Marketplace Terms.
