1Grounds for action

We may act for violations of our agreements; unlawful activity; fraud, abuse, spam, harassment, or security risk; payment failure, refund or chargeback abuse, or negative balances; prohibited content or restricted-business activity; sanctions, export, tax, identity, or compliance issues; seller non-delivery or marketplace risk; affiliate fraud or disclosure failures; AI, automation, or data misuse; infringement or repeat infringement; threats to the Platform or others; and binding legal, regulatory, court, payment-provider, infrastructure-provider, or connected-service requirements.

2Available actions

Actions may include education or warning; content removal or visibility reduction; feature, workspace, API, integration, or automation limits; plan downgrade or cancellation; credit adjustment; wallet hold, payout delay, reserve, or payout disablement; seller or affiliate restriction; public-profile restriction; account suspension or termination; and reporting to appropriate providers, regulators, authorities, affected users, or third parties.

3Notice and urgent action

We may provide notice and an opportunity to correct an issue when reasonable. We may act without advance notice when needed for security, safety, legal compliance, fraud prevention, payment risk, investigation integrity, or user protection.

4Appeals

You may appeal an eligible decision through the Support Hub or support@focalshift.ai. Include the account and workspace, the action being appealed, relevant evidence, and why you believe the decision should change. An appeal may be denied when an action is final, legally required, risk-based, or required by a payment or connected-service provider.

5Effect of termination

Termination ends the right to use the affected Services. We may retain records required for legal, tax, payment, fraud, security, moderation, audit, dispute, or backup purposes. Public or cached copies held by others may persist. Terms concerning payment, ownership, confidentiality, disclaimers, liability, indemnity, disputes, and other provisions that by nature should survive will continue.

6Balances and amounts owed

Termination does not eliminate refunds, chargebacks, taxes, reserves, negative balances, indemnities, dispute duties, or other amounts owed. Eligible balances may be paid after deductions, settlement, holds, reserves, verification, and risk review.

7Organizations, seats, and shared workspaces

Where an organization holds the account, action taken against the organization affects every seat in it. Suspending or terminating an organization account suspends or ends each seat holder’s access to that workspace and to the business records in it; suspending or removing an individual seat ends that person’s access without affecting the organization’s workspace, which the organization continues to control. A person whose seat is removed keeps any separate personal account they hold, and loses access to workspace content, which belongs to the organization.

Where the conduct is attributable to one seat rather than to the organization, we will ordinarily act against that seat first and notify an administrator. Where an owner or administrator is terminated but the organization is not, we may work with the organization to transfer ownership to another authorized administrator so the workspace and its data survive; the organization is responsible for identifying that person and for proving authority. Where an organization is terminated, its administrators may use available export tools during any wind-down period we provide before deletion. Seat rules are set out in the Teams and Organizations Addendum.

8Credits on suspension or termination

Credits are limited service-use units, not money and not property. During a suspension, credits are frozen and may not be spent or transferred. On termination, whether by you or by us, any remaining credit balance expires and is forfeited; credits are not refundable, not redeemable for cash, not transferable out of the account, and not payable as part of a final settlement. This is separate from cash balances in the wallet, which are handled under “Balances and amounts owed” above.

We may reverse a credit transfer, void credits obtained through fraud, chargeback, promotion abuse, or policy violation, and offset credits against amounts you owe. Where an account is closed by us in error, or where law requires, we may restore or compensate for a forfeited balance. If your account is later reinstated, we may restore a forfeited balance at our discretion but are not required to. See the FocalShift Credits and Shift Transfers Terms.

9Your account-deletion request

Enforcement is separate from a voluntary request to delete your own account and data. Available account-security controls and the 개인정보 처리방침 explain identity confirmation, the 30-day cool-off period, deletion, and lawful retention.
