Teams and Organizations Addendum
This Addendum governs organization accounts, shared workspaces, seats, and administrator controls — including what an organization can see and do with the work its people do in its workspace.

1Scope and agreement
This Addendum applies whenever an account is held by an organization and access is assigned to individual people as seats. It supplements the Terms of Service, the Chính sách bảo mật, and the Data Processing Addendum, and controls over them on the subjects covered here. Every seat holder is bound by the Terms of Service and by this Addendum.
An account held by one person with no additional seats is treated as an organization of one for these purposes, and this Addendum applies to it only where a section is capable of applying.
2Organization, workspace, and seat
The organization is the legal person or business that holds the account and is our customer. The workspace is the shared environment the organization uses — its records, contacts, projects, files, campaigns, automations, integrations, publications, conversations, AI history, and settings. A seat is an assigned right for one named individual to access the workspace within the role and permissions the organization sets. A seat is a right of access, not ownership.
Seats are individual and may not be shared, pooled, rotated between people to defeat plan limits, or used by anyone other than the assigned person. Each seat holder must use their own credentials and protect them.
3Authority to bind
The person who creates an organization account, purchases or changes a plan, adds or removes seats, accepts these documents, or acts as owner or administrator represents that they are authorized to bind the organization to this agreement and to incur the charges involved. If that authority is absent, that person is personally responsible for the obligations they purport to accept. We may require evidence of authority, and we may rely on the apparent authority of a person acting from an owner or administrator account.
4Who owns the workspace and its data
The organization owns and controls the workspace and the business content in it, including content a seat holder creates, uploads, imports, or generates in the course of the organization’s work. As between the organization and the seat holder, that content is the organization’s. The organization is the customer under the agreement and the controller or business under the Data Processing Addendum for personal data in its workspace; FocalShift AI is its processor or service provider for that data.
Information about a seat holder as an individual — their login identity, authentication and security records, and their own correspondence with FocalShift support — is handled by FocalShift AI as controller under the Chính sách bảo mật. A seat holder who wants to keep personal material separate should keep it out of the organization’s workspace and, where they want a personal environment, hold their own separate account.
5Administrator controls and visibility
Seat holders should read this section. The organization’s owner and administrators control the workspace and can see what is done in it. Depending on the features enabled and the roles configured, administrator capabilities may include: viewing, editing, exporting, and deleting any record, file, document, contact, deal, project, task, calendar entry, campaign, publication, or automation in the workspace; viewing conversations, comments, notes, and messages that take place in workspace surfaces; viewing AI prompts, generations, and usage attributed to a seat; viewing login history, device and session information, activity and audit logs, and usage and credit consumption by seat; assuming or resetting access to a seat’s workspace items; changing roles, permissions, sharing, retention, and public visibility; and exporting all of the above.
By using a seat you acknowledge that your activity in the organization’s workspace is visible to the organization, is not private to you, and may be reviewed, retained, exported, disclosed, and used by the organization for its own purposes, including compliance, security, quality, investigation, dispute, and legal-hold purposes, subject to applicable law. The organization is responsible for its own monitoring policy, for any notice or consent that employment or privacy law in its jurisdiction requires before monitoring its people, and for using these capabilities lawfully and proportionately. FocalShift AI acts on the organization’s instructions and does not adjudicate between an organization and its people.
Direct messages between individuals, where the Services provide them as personal rather than workspace surfaces, are treated as described in the Network Privacy and Safety Notice; we will identify in the product which surfaces are workspace surfaces. Assume that anything in the workspace is visible to the organization.
6Adding, removing, and reassigning seats
An owner or administrator may add, remove, suspend, and reassign seats at any time using account controls. Adding a seat may change the amount billed; billing for seats, proration, and the timing of an increase or decrease is as shown in the billing area at the time of the change and in the Billing Policy.
When a seat is removed: that person’s access to the workspace ends immediately; workspace content they created remains the organization’s and stays in the workspace; the organization may reassign, retain, export, or delete it; ownership of items assigned to that person may be transferred to another seat by an administrator; and the organization is responsible for retrieving anything it needs before it removes a seat. The removed person keeps any separate personal account they hold and any content in it. Where a jurisdiction gives an individual a right of access to their own personal data, that request should be made to the organization as controller, and we will assist the organization as described in the DPA.
7Owner succession and termination
An organization should maintain more than one owner or administrator. Where the sole owner leaves, loses access, is terminated by us, or becomes unavailable, the organization may request transfer of ownership to another authorized person by contacting us with evidence of authority — such as an authorized representative’s written request on organization letterhead, proof of the organization’s existence, and proof of the requester’s role. We will verify before acting and may decline where authority is unclear or the request is contested; a contested transfer is a dispute between the claimants and must be resolved between them or by a court, and we may freeze the workspace in the meantime to preserve it.
Termination of an owner’s individual access for conduct attributable to that person does not automatically terminate the organization account; we will ordinarily act against the seat and notify the organization. Where the organization account itself is terminated, every seat ends with it, and available export tools may be used during any wind-down period we provide before deletion. 8Billing for seats
Plan, seat count, included seats, additional-seat pricing, billing interval, proration on adding or removing a seat, and the effective date of a change are those shown in the account billing area and at checkout at the time of the change. The organization is responsible for all charges incurred on the account, including charges resulting from seats added by its administrators, and for keeping a valid payment method on file. Reducing seats generally takes effect at the next renewal unless the billing area states otherwise. See the Subscription, Billing, Cancellation, and Refund Policy.
9Security and administration duties of the organization
The organization is responsible for configuring roles and permissions on a least-privilege basis; for promptly removing access when a person leaves or changes role; for requiring appropriate authentication, including any multi-factor option available; for the accuracy of the seat list; for the conduct of its seat holders on the account; for ensuring its people are permitted to access the data they can reach; for its own retention, legal-hold, and export practices; and for notifying us promptly of suspected unauthorized access. Acts and omissions of a seat holder in the workspace are attributable to the organization as between the organization and FocalShift AI.
10Credits, balances, and commerce in an organization account
Credits, wallet balances, payouts, campaigns, listings, and affiliate participation on an organization account belong to the organization, not to an individual seat holder, and an administrator controls them. A seat holder acting in the workspace acts for the organization. Removing a seat does not transfer any balance to that person. Credits are governed by the FocalShift AI Credits and Shift Transfers Terms.
11Effect of termination
On termination of the organization account, every seat’s access ends, the workspace becomes unavailable, and data is handled under the Account Suspension and Termination Policy and the deletion provisions of the Data Processing Addendum. Individual seat holders should not rely on the organization’s workspace to hold anything they need to keep personally.
12Changes and contact
