FocalShift AI Credits and Shift Transfers Terms

These Terms govern FocalShift AI Credits — how they are obtained, used, transferred between members through the Shift feature, limited, and ended.

1Scope and agreement

These Terms govern FocalShift AI Credits (“Credits”) and the transfer of Credits between members through the Shift feature. They supplement the Terms of Service, the Subscription, Billing, Cancellation, and Refund Policy, and the AI Use and Generated Content Policy, and control over those documents on the subjects covered here. Using, buying, spending, sending, or receiving Credits means you accept these Terms.

2What Credits are

A Credit is a limited, revocable licence to use a metered feature of the Services. Credits are a unit of account internal to the Services and nothing more. Credits are not money. They are not legal tender, currency, cash equivalent, stored value, a prepaid access product, a gift card or gift certificate, a deposit, a bank or payment account, an e-money balance, a security, an investment, a commodity, or property. They carry no cash value, bear no interest, and confer no ownership or claim on FocalShift AI or its assets.

Credits cannot be redeemed for money, cannot be withdrawn or cashed out, and are not payable to you in any circumstance, including on cancellation, closure, or termination. Nothing about Credits is intended to constitute the transmission of money or monetary value, the issuance of stored value, or the provision of a payment service, and the Shift feature is a licence-reallocation feature inside a single platform, not a payment or remittance service.

3How Credits are obtained

Credits may be included with a plan as a periodic allowance, purchased as a top-up in the amounts shown at checkout, granted as part of a promotion, trial, refund gesture, or support resolution, or received from another member through a Shift transfer. The number of Credits attached to a plan, the price of a top-up, and the terms of a promotion are those shown at the time. Plan allowances are provided for the period they cover; unless stated otherwise, an unused plan allowance does not roll over into the next period. Promotional Credits may carry their own expiry, feature restriction, or non-transferability, stated when granted.

A purchase of Credits is a purchase of a service entitlement and is final once the Credits are delivered, except where law requires a refund or we expressly state otherwise. Credits are held at the account level and, in an organization account, belong to the organization rather than to an individual seat holder.

4How Credits are used

Credits are consumed by metered features — including AI generation, media generation, automation runs, enrichment, delivery, and other features identified as metered — at the rates shown in the applicable interface at the time of use. Rates reflect underlying provider and infrastructure costs and may change prospectively; we will show current rates in the product and will not retroactively re-price consumption already made. Consumption is final and is not reversible, including where output is unsatisfactory, unused, or discarded; where a charge results from a demonstrable platform error, contact us and we will correct it.

Where you supply your own provider key, requests routed to your own provider account are billed by that provider to you and are not metered in Credits, though platform-side processing may still be. We may apply rate limits, per-feature caps, fair-use controls, model restrictions, and safety review independently of your Credit balance; a balance is not a guarantee of capacity, availability, or throughput. 5Shift transfers between members

The Shift feature allows one member to transfer Credits to another member inside the Services. Transferability exists solely as a licensed feature of the platform and solely through that feature: a transfer is a reallocation of a service licence from one account to another within FocalShift AI. Credits may not be sold, offered for sale, bartered, exchanged for money or anything of value, auctioned, listed, brokered, assigned, pledged, used as collateral, or transferred outside the Services, and any attempted transfer outside the Shift feature is void.

A transfer is final when completed and cannot be recalled by the sender. Both accounts must be in good standing; a transfer may require verification and may be limited by amount, frequency, recipient, account age, or plan. Transferred Credits carry the same character — no cash value, non-redeemable, revocable — and any expiry or restriction attaching to the underlying Credits travels with them. Nothing may be given or promised in exchange for Credits outside the Services; a transfer must not be used to settle a debt, to pay for goods or services, to move value between people, or as a substitute for payment.

6Limits, review, and reversal

We may set, change, and enforce limits on the purchase, accumulation, consumption, and transfer of Credits, including per-transaction, daily, and lifetime limits, and may require identity or account verification before enabling or continuing transfers. We may pause, decline, hold, or reverse a transfer, void or claw back Credits, and restrict Credit or transfer features where we reasonably suspect fraud, unauthorized payment, chargeback, stolen payment credentials, account takeover, promotion or referral abuse, resale or brokering, circumvention of plan limits, use of the feature to move value, sanctioned or prohibited activity, or any violation of these Terms or the Acceptable Use Policy.

Where a Credit purchase is charged back or reversed, we may void the corresponding Credits, including Credits already transferred onward, and may recover the shortfall from the account balance or by offset. We may act without advance notice where notice would increase risk, and will provide notice and an appeal route where practicable under the Account Suspension and Termination Policy.

7No refund, no redemption, no secondary market

Credits are non-refundable and non-redeemable. We do not buy Credits back, do not exchange them for cash, refunds, account credit in money, or any other consideration, and do not pay out a balance. Selling, offering, advertising, or brokering Credits — on any marketplace, forum, social platform, or private arrangement — is prohibited for buyer and seller alike, and we may void Credits involved and restrict every account involved. Where a Credit purchase is refunded because law requires it or because we agree to it, the corresponding Credits are removed from the account.

8Expiry, inactivity, and termination

Credits may expire as disclosed with the plan, top-up, or promotion under which they were provided. Where a top-up states no expiry, Credits remain available while the account is open and in good standing, subject to these Terms. We may expire Credits on an account that has been inactive for a prolonged period, after notice to the account email.

On termination or closure of an account — by you or by us — any remaining Credit balance expires and is forfeited. Credits are not paid out, not converted to cash, not transferable out at closure, and not part of any final settlement, which is separate from cash balances in the wallet. During a suspension, Credits are frozen and may not be spent or transferred. If an account is reinstated we may restore a forfeited balance at our discretion but are not required to; where an account was closed by our error, or where law requires, we will restore or otherwise make it right.

9Unclaimed property

Credits are a limited licence to use a service and not money, funds, or property held for you, and are therefore not intended to be subject to unclaimed-property, escheat, or gift-card law. Where a jurisdiction nonetheless determines that a Credit balance or any part of it is reportable or escheatable property, FocalShift AI will comply with that requirement: it may report and remit the applicable amount to the relevant authority, will treat that remittance as discharging any obligation in respect of the balance, and may deduct any legally permitted administrative or dormancy amount before doing so. In that case you must claim from the authority, not from FocalShift AI. Nothing in this section creates a right to redeem Credits for money.

10Financial-crime compliance

You may not use Credits, top-ups, or the Shift feature to launder money, layer or structure transactions, obscure the source or destination of funds, evade sanctions or export controls, finance terrorism, evade tax, or move value on behalf of an undisclosed third party. We screen accounts and transactions, and we may request identity, business, source-of-funds, and beneficial-ownership information before enabling, continuing, or increasing Credit purchase or transfer limits.

We may refuse, freeze, reverse, or unwind a transaction, restrict or close an account, retain records, and report activity to law-enforcement, tax, financial-intelligence, or regulatory authorities where we believe in good faith that it is required or appropriate, and we may be prohibited from telling you that we have done so. We will cooperate with lawful requests as described in the Law-Enforcement Request Guidelines. If a regulator or payment partner determines that any Credit feature requires a licence, registration, or change in structure, we may modify, restrict, or withdraw that feature.

11Records and disputes

Your account shows Credit purchases, grants, consumption, transfers sent and received, adjustments, and the current balance. FocalShift AI’s records are the authoritative record of Credit activity absent manifest error. Raise a discrepancy through FocalShift Contact within sixty days of the entry so we can investigate; we may request information needed to identify the transaction. Disputes about Credits are subject to the dispute-resolution provisions of the Terms of Service.

12Changes and contact

We may change these Terms, Credit rates, allowances, limits, transfer rules, and expiry rules prospectively as the Services, costs, provider terms, risk controls, and legal requirements change, with notice where required and additional notice where a change materially reduces the value of a balance you have already purchased. Continued use after a change takes effect is acceptance of it. Questions about Credits and Shift transfers may be submitted through FocalShift Contact.
