Affiliate Program Agreement

1Scope and relationship to the endorsement policy

This Agreement governs the commercial terms of the FocalShift AI referral and affiliate program (the “Program”). The Affiliate and Endorsement Policy governs how you must disclose and describe your relationship when you promote FocalShift AI, and applies in full to every Program participant; where the two documents overlap, the stricter requirement applies. This Agreement supplements the Terms of Service.

You (“Partner”) and FocalShift AI are independent contracting parties. Nothing here creates employment, partnership, agency, joint venture, or franchise, and you have no authority to bind FocalShift AI, to make commitments on its behalf, to negotiate pricing, or to accept anything for it.

2Enrollment and eligibility

Participation requires an approved partner account and acceptance of this Agreement. You must be at least 18, provide accurate identity, business, contact, tax, and payment information, keep it current, and hold any licence or registration your promotion activity requires. We may approve, decline, or revoke enrollment at our discretion, including where your audience, channels, methods, or content are inconsistent with the brand or with these documents. Program access is personal to your account and may not be transferred, sold, or sublicensed.

3Program economics

The current commission rate, commission duration, qualifying products and plans, attribution window, hold period, minimum payout, payout schedule, and any bonus or tier is shown in your partner account. Those displayed terms are the operative economics of the Program and apply to referrals generated while they are displayed. We publish them in the partner dashboard rather than here so they can be kept current and accurate.

Commission is calculated on net subscription revenue actually received and retained by FocalShift AI for a qualifying referred purchase, excluding taxes, refunds, chargebacks, discounts, credits, payment-processing costs, and non-qualifying products. Unless your dashboard states otherwise, commission is not payable on renewals beyond the stated duration, on plan changes below the qualifying threshold, on your own or a related party’s purchase, or on a purchase made with a discount that the Program excludes.

4Attribution

Referrals are attributed by FocalShift AI’s own tracking records, which are authoritative absent manifest error. Attribution ordinarily works by a tracked link or code that sets a first-party identifier in the visitor’s browser for the attribution window shown in your dashboard, and by matching a subsequent signup and qualifying purchase to that identifier or to a code entered at checkout. Where more than one Partner is associated with a visitor, the most recent qualifying touch within the window prevails unless your dashboard states another rule.

Attribution can fail for reasons outside our control — a visitor clearing or blocking cookies, using a different device or browser, browser tracking restrictions, privacy tools, a link stripped by a platform, a signup made without passing through your link, or a delay beyond the window. We do not manually reassign a referral that did not track, and a missed referral is not compensable. Do not alter, mask, cloak, redirect through unapproved intermediaries, or reconstruct tracking parameters.

5Qualifying actions, holds, and approval

A commission accrues when a referred customer completes a qualifying purchase and the payment clears. It then remains pending for the hold period shown in your dashboard, so refunds, cancellations, chargebacks, fraud review, and eligibility checks can settle. A commission becomes approved and payable only after the hold period ends, the underlying revenue has been retained, and the referral has passed review. We may extend a hold, place a commission under review, or withhold payment while we investigate suspected ineligibility or abuse.

Trials, free plans, downgrades, refunded purchases, purchases later reversed, duplicate or test accounts, and purchases by you or a party related to you do not qualify. We determine eligibility in good faith and will explain a rejected commission on request.

6Minimum payout, method, and currency

Approved commissions are paid on the schedule and by the method shown in your partner account, once your approved balance reaches the minimum payout threshold shown there. Below the threshold, the balance carries forward. Payment requires complete and verified identity, tax, and payment details; we may withhold payment until they are provided. Payments are made in the currency shown; your provider may apply conversion or transfer fees, which are yours to bear. You are responsible for the accuracy of your payment details, and we are not responsible for a payment sent to details you supplied incorrectly.

If your account is inactive for a prolonged period, or if we cannot reach you or complete verification, we may hold, and after notice to your account email close out, an unpaid balance to the extent law permits. Unpaid balances at termination are handled under the termination section below.

7Refunds, chargebacks, and clawbacks

Commission is contingent on FocalShift AI retaining the underlying revenue. If a referred purchase is refunded, cancelled within a refund window, charged back, reversed, discounted retroactively, or found to be fraudulent or ineligible, the corresponding commission is reversed. If it was still pending, it is cancelled. If it was already paid, we may deduct it from current or future commissions, offset it against any other amount we owe you, or invoice you for it, and you will pay a properly issued invoice within thirty days.

Where a pattern of refunds, chargebacks, or non-genuine signups is associated with your referrals, we may suspend payouts, extend hold periods, require substantiation of your promotion methods, reverse commissions in bulk, and terminate participation. Clawback rights survive termination.

8Prohibited promotion methods

You may not: refer yourself, or refer an account you own, control, are employed by, or that is held by a member of your household or a party related to you, and you may not arrange for another person to do so on your behalf; create, or induce a customer to create, a duplicate or throwaway account to generate a commission; rebate, split, or kick back commission to a customer as an inducement, or advertise that you will; publish, distribute, or apply a discount code, coupon, or offer that FocalShift AI has not authorized for your use, or represent an expired or non-existent discount; operate or submit to coupon, deal, cashback, loyalty, or extension-based sites or toolbars that inject or overwrite tracking, unless we have approved it in writing; bid on FocalShift AI trademarks, brand terms, common misspellings, or brand-plus-keyword combinations in paid search, or use them in a display URL or ad path, without our written permission; register or use a domain, subdomain, app name, social handle, or profile that incorporates or is confusingly similar to FocalShift AI branding; run paid advertising that points directly to focalshift.ai rather than to your own reviewed content unless approved; use cookie stuffing, forced clicks, pop-unders, iframe injection, adware, toolbars, malware, or automated traffic; send unsolicited bulk email or messages, or promote through spam, purchased lists, or scraped contacts; make claims about features, prices, results, income, security, or compliance that are inaccurate, unsubstantiated, or not currently true; fabricate reviews, testimonials, screenshots, or earnings; or misrepresent yourself as FocalShift AI, its employee, or an official channel.

Violation may result in withheld or reversed commission, removal of content, suspension, termination, and recovery of amounts paid, in addition to any other remedy.

9Disclosure duty

You must disclose your material connection to FocalShift AI clearly and conspicuously wherever an endorsement, review, or referral link appears, in the manner required by the Affiliate and Endorsement Policy — in the content itself and not only in a profile, description, or hidden expander, and in the same medium as the endorsement for video, audio, and live formats. Compliance with disclosure law in your jurisdiction is your responsibility, and you are responsible for the disclosure practices of anyone promoting under your account or at your direction. We may require correction or removal of non-compliant content, and non-compliance is a material breach.

10Taxes and tax forms

You are an independent contractor and are responsible for your own income, self-employment, sales, value-added, and other taxes on commissions. Before payment we or a payment provider may require a Form W-9, a Form W-8 series certification, or an equivalent declaration, and may apply backup or treaty withholding where required. We may report commissions to tax authorities on Form 1099-NEC, Form 1099-MISC, or an applicable non-US equivalent. We may withhold payment until tax documentation is complete and accurate. 11Brand, content, and data

You may use FocalShift AI names, logos, and approved materials only as the current brand guidance permits, only to promote FocalShift AI, and only while this Agreement is in force; all goodwill accrues to FocalShift AI, and the licence ends on termination, at which point you must remove branded materials and disable tracked links on request. Program statistics, rates, unpublished roadmap information, and customer data you learn through the Program are confidential and may not be disclosed or used for another purpose. Personal data you collect from your own audience is yours to handle lawfully under the गोपनीयता नीति and applicable law; do not represent that FocalShift AI is the controller of your list.

12No guarantee of earnings

FocalShift AI makes no representation or guarantee about the commissions you will earn. Any figure, example, case study, leaderboard, or projection is illustrative only, reflects an individual result, is not typical, and is not a promise. Earnings depend on your audience, methods, effort, market conditions, and factors outside anyone’s control, and may be zero. Do not represent to others that a specific income is achievable through the Program, and do not present an atypical result as typical.

13Changes to the Program

We may change the Program prospectively at any time — including commission rates, duration, qualifying products, attribution windows, hold periods, minimum payout, payment methods, creative assets, and eligibility rules — by updating your partner account and, where the change is material, by notice to your account email. A change applies to referrals generated after it takes effect and does not retroactively alter commissions already accrued on referrals made under the prior terms, except where the underlying revenue is refunded or reversed. Continued participation after a change takes effect is acceptance of it. We may suspend, restructure, or discontinue the Program entirely on notice, in which case accrued approved commissions remain payable subject to the clawback and payout rules above.

14Suspension, termination, and survival

Either party may terminate participation at any time on notice. We may suspend or terminate immediately for breach of this Agreement or the endorsement policy, fraud or suspected fraud, prohibited promotion methods, reputational risk, inaccurate information, or conduct harmful to customers or to FocalShift AI. On termination you must stop promoting, disable tracked links on request, and stop using brand assets. Accrued approved commissions remain payable at the next scheduled payout subject to holds, clawbacks, and offsets — except where termination is for fraud, prohibited methods, or material breach, in which case we may forfeit pending and unpaid commissions associated with the violating activity to the extent law permits. Clawback, confidentiality, tax, indemnity, and limitation provisions survive.

You will indemnify FocalShift AI against third-party claims arising from your promotion, your content, your representations, your data practices, and your breach of this Agreement.
